1. Definitions

ElCoach App: A bilingual mobile application utilizing artificial intelligence, certified trainers, and nutritionists to provide personalized exercise and nutrition plans for users in the Arab world.
ElCoach For Business: The business-to-business service offered by ElCoach, Inc., enabling companies to provide their employees with access to ElCoach Plus subscription plan.
ElCoach Plus: The premium subscription plan within ElCoach App that offers users full access to all features and content.
ElCoach, Inc.: The owner and operator of the ElCoach App and ElCoach For Business service.

2. Acceptance of Terms

By signing up for and using ElCoach For Business, the Company agrees to be bound by these Terms and Conditions. If the Company does not agree to these terms, they should not use the service.

3. Service Provision

Access: Upon company registration, ElCoach will generate a Branded Unique Link for the Company to distribute to its employees.
Activation: The Company is responsible for promoting the initiative internally to ensure all eligible employees are aware of and have access to the Branded Unique Link.
Onboarding: ElCoach will ensure smooth onboarding for the company’s team, instantly activate app access for registered and accepted employees, and communicate access details to accepted employees.
Employee Management: The Company has the right to accept or reject employee registrations based on its internal criteria.
Automated Acceptance: If opted for, ElCoach will automate employee acceptance up to the defined monthly Cap limit set by the company, operating on a first-come, first-served basis. Employees exceeding the Cap in a given month will be automatically shifted to the next month.
App Access: Accepted employees will receive premium access to ElCoach App for a period of three months, and they have the right to renew for another three months after the company’s acceptance.
Duration: The agreement remains in effect for one year from the date of registration, and the company has the right to distribute the link to their employees at any given time within this year.

4. Payment

Pricing: The standard price is as communicated per employee per three-month period.
Invoicing: Invoices will be issued monthly on a post-paid, pay-as-you-go basis. The first invoice will reflect the number of registered and accepted employees in the first month. Subsequent invoices will be based on newly registered & accepted employees within any day of the given month.
Payment Terms: Payment is due within 10 working days from the invoice issuance date.
Late Payment: ElCoach reserves the right to deactivate the Company's account and employee access in case of non-payment within the stated time frame.
Price Revision: ElCoach may revise the standard price at the beginning of each year.
Discounts: Volume discounts may apply for upfront payments for 1,000+ employees. Details of such discounts will be provided upon request.

5. Analytics

ElCoach, Inc. will provide the Company with analytics data related to their employees' engagement with the ElCoach App.
This data may include information such as the number of employees who have signed up for the ElCoach Plus plan, how often they use the app, and their progress towards their fitness and nutrition goals.
The Company agrees to use this data only for internal purposes and not to share it with any third parties without the express written consent of ElCoach, Inc.

6. Consent for PR and Marketing

Success Stories: The Company consents to ElCoach approaching its employees through ElCoach App and CS portal to request their participation in success stories, including the provision of before and after progress images and success story videos, subject to each employee's individual written consent.
Public Announcements: The Company consents to ElCoach using the results obtained from the activation as statistics and numbers for case studies, announcements, and other promotional materials. This includes the usage of the company’s name and logo in any PR/marketing announcements related to the partnership.

7. Intellectual Property

All intellectual property rights related to the ElCoach App, ElCoach For Business service, and any associated content or materials belong to ElCoach, Inc.
The Company is granted a limited, non-exclusive, non-transferable license to use the ElCoach For Business service for the sole purpose of providing their employees with access to the ElCoach Plus plan.

8. Termination

By ElCoach: ElCoach may terminate the agreement immediately in case of non-payment or breach of these terms by the Company.
By the Company: The Company may terminate the agreement at the end of the one-year term by providing written notice at least 30 days in advance.

9. Security

The Company is responsible for the security of its credentials, and ElCoach is not responsible for any breach that happens as a result of someone gaining unlawful access to the dashboard.

10. Limitation of Liability

ElCoach, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the ElCoach For Business service.
In no event shall ElCoach, Inc.'s total liability to the Company exceed the amount paid by the Company to ElCoach, Inc. in the twelve (12) months preceding the event giving rise to the claim.

11. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of ِEgypt
Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Egypt

12. Amendments

ElCoach, Inc. reserves the right to amend these Terms and Conditions at any time.
Any changes will be communicated to the Company in writing, and the Company's continued use of the ElCoach For Business service after such changes will constitute acceptance of the amended terms.

This Privacy Policy outlines the types of information we collect, how we use and share that information, and the choices you have regarding your information.

2. Information We Collect

Company Information: When a company signs up for ElCoach For Business, we collect information such as the company name, contact information, number of employees, etc.
Employee Information: We collect limited employee information, such as their name and email address and other information agreed upon for collection, to provide them with access to the ElCoach Plus subscription and to track their engagement with the app.
Usage Data: We collect information about how employees use the ElCoach App, including the features they access, the content they view, and their progress toward their fitness and nutrition goals.
Device Information: We may collect information about the devices used to access the ElCoach App, such as the device type, operating system, and unique device identifiers.

3. How We Use Information

To Provide ElCoach For Business Service: We use the information we collect to provide, maintain, and improve the ElCoach For Business service, including processing payments, providing customer support, and delivering analytics data to companies.
To Communicate with Companies and Employees: We may use the information we collect to communicate with companies and employees about the ElCoach For Business service, including sending updates, notifications, and promotional materials.
To Personalize the User Experience: We may use the information we collect to personalize the ElCoach App experience for employees, including providing tailored exercise and nutrition plans.
To Improve Our Products and Services: We may use the information we collect to analyze trends, track user engagement, and conduct research to improve our products and services.

4. How We Share Information

With Companies: We share aggregated and anonymized analytics data with companies about their employees' engagement with the ElCoach App.
With Service Providers: We may share information with third-party service providers who help us operate our business, such as payment processors, customer support platforms, and analytics providers. These service providers are contractually obligated to protect the confidentiality and security of the information they receive.
For Legal Reasons: We may disclose information if required to do so by law or in the good faith belief that such action is necessary to comply with legal obligations, protect our rights or property, or ensure the safety of our users or the public.

5. Your Choices

Company Information: Companies can update their information or terminate their ElCoach For Business account at any time by contacting us.
Employee Information: Employees can manage their ElCoach App account settings and preferences within the app.
Marketing Communications: Companies and employees can opt-out of receiving marketing communications from us by following the unsubscribe instructions included in such communications.

6. Data Security

We take reasonable measures to protect the information we collect from unauthorized access, use, disclosure, alteration, or destruction. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee the absolute security of your information.

7. Changes to this Privacy Policy

We may update this Privacy Policy from time to time. We will notify you of any material changes by posting the updated Privacy Policy on our website or through other communication channels. Your continued use of the ElCoach For Business service after the effective date of any changes to this Privacy Policy will constitute your acceptance of such changes.
